Terms of Service
1. Acceptance of Terms
By accessing or using HippoQuote, you agree to these Terms of Service. If you are using HippoQuote on behalf of a business, you represent that you have authority to bind that business to these terms.
2. Platform Role; No Agency Relationship
HippoQuote provides software tools for customer records, estimates, invoices, reminders, and payment-related workflows. HippoQuote is not a contractor, broker, debt collector, insurer, legal advisor, or party to any agreement between you and your customers.
We do not supervise, control, or guarantee the services you provide, the work your customers request, or the outcome of any transaction, dispute, chargeback, refund, cancellation, delay, or workmanship issue between you and your customers.
3. Account and Use Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You are solely responsible for the accuracy of every estimate, invoice, reminder, payment request, tax amount, and customer communication you create or send through HippoQuote.
- You are solely responsible for your pricing, taxes, permits, licensing, consumer disclosures, collections practices, and compliance with applicable laws, regulations, and industry rules.
- You must have all rights, permissions, and lawful bases needed to upload, use, and contact your customers and other third parties through the platform.
4. Subscription Billing, Auto-Renewal, and Failed Payments
Paid plans are billed in advance on a recurring basis until cancelled. By subscribing, you authorize HippoQuote and its payment processor to charge your payment method for recurring subscription fees, applicable taxes, and other charges you authorize.
You must keep your billing information current. If a payment fails, we may retry the charge, suspend access to paid features, downgrade your account, or cancel the affected subscription after delinquency. Refunds, if any, are governed by our Refund Policy.
5. Payment Processing and Chargeback Responsibility
Certain billing and payment features rely on third-party providers, including Stripe. Your use of those features may also be subject to the third party's own terms, onboarding requirements, underwriting decisions, and acceptable use rules.
HippoQuote is not responsible for payment processor outages, holds, reversals, or payout delays. You remain solely responsible for all chargebacks, reversals, refunds, disputes, penalties, taxes, and customer claims arising from the products or services you sell or bill through the platform.
6. Customer Data and Privacy Roles
If you upload or process personal data relating to your own customers, leads, or other contacts, you remain responsible for that data and for providing any notices and obtaining any consents required by law.
As between you and HippoQuote, you act as the controller or business responsible for the customer data you submit, and HippoQuote acts as a service provider or processor in providing the platform to you. Our handling of personal data is described further in our Privacy Policy.
7. Service Availability and Disclaimer
HippoQuote is provided on an 'as is' and 'as available' basis. We do not guarantee uninterrupted availability, error-free performance, successful message delivery, processor uptime, or that the platform will meet every business, legal, tax, or accounting requirement that may apply to you.
Templates, reminders, and workflow tools made available through HippoQuote are for general business use only and are not legal, tax, accounting, or regulatory advice.
8. Indemnification
You agree to defend, indemnify, and hold harmless HippoQuote and its affiliates, officers, employees, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the platform, your business activities, your customer data, your estimates or invoices, your services, your payment disputes or chargebacks, or your breach of these terms.
9. Limitation of Liability
To the maximum extent permitted by law, HippoQuote and its suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity, data, or customer relationships, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by law, HippoQuote's total aggregate liability for all claims arising out of or relating to the service or these terms will not exceed the amount you paid HippoQuote in the 12 months before the event giving rise to the claim, or USD $100 if you have not made any such payments.
10. Changes to the Service or Terms
We may modify, suspend, or discontinue all or part of the platform at any time, and we may update these Terms of Service from time to time. Continued use of HippoQuote after updated terms become effective constitutes acceptance of the revised terms.
11. Governing Law
These terms are governed by and construed in accordance with the laws of the United States, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts located in the United States for disputes arising out of or relating to these terms or the service.
